Clinical IOM Program Agreement

This Clinical IOM Program Agreement (“Agreement”) by and between Trusted Neurodiagnostic Academy (“TNA”) and the individual identified in the signature line below (“Student”), is effective the date indicated on the signature line below (“Effective Date”). Pursuant to this Agreement, TNA agrees to provide Student training in the use of neurophysiological testing (“Training”), subject to the following terms and conditions:

Term. The Course term and scheduling is subject to change at TNA’s sole discretion.

Materials. TNA will provide to Student the following materials:
1. The online aspect of the training, as well as the textbook Intraoperative Neuromonitoring by Christoper M. Loftus, Jose Biller, and Eli M. Baron;
2. A Practical Approach to Neurophysiologic Intraoperative Monitoring by Aatif M. Husain
3. Practical Guide for Clinical Neurophysiologic Testing: EP, LTM, IOM, PSG, and NCS by Thoru Yamada, MD and Elizabeth Meng, BA, R. EEG/EP T.
4. Neuroanatomy through Clinical Cases by Hal Blumefeld, MD, PhD; and
5. A Study Guide

Student Requirements. TNA will not provide, and Student will be solely responsible for any of following necessary to complete the Training:
1. Train under a certified IOM Technologist for clinicals. CNIM must be verifiable on ABRET®.
2. Any internet or computer related expenses;
3. Any additional facility credentialing costs;
4. Any immunizations or tests necessary to complete credentialing;
5. Background checks;
6. General liability insurance; and
7. BLS certification
8. Any ABRET® related charges to sit for the CNIM® exam

Program Fee. Student agrees to pay TNA $7500.00 for the Courses offered. Student may make such payment by either:
1. Paying TNA $7500 three weeks prior to start date; or
2. Depositing $500.00 no later than three weeks prior to start date with future payments for an additional 14 months. In the event Student elects to make payments, Student must place a credit or debit card on file with TNA, and authorizes TNA to automatically withdraw such payments on the dates due.

Late Payments. In the event any payment due under this Agreement is returned as non- payable, or is otherwise not made when due, Student authorizes TNA to collect a $100 late fee and double payment on the date the next payment is due. TNA reserves the right to withhold Training from any Student not current on payments. Program tuition balance must be paid in full to receive a Certificate of Completion and be eligible to sit for the ABRET® CNIM.

6.Academic Policies. Student acknowledges it has received a copy of the Trusted Neurodiagnostic Academy Clinical IOM Program Academic Policies (“Policies”). Student has read, understands, and agrees to comply with the Policies.

Non-Completion. In the event Student fails to complete the Training, whether due to Student’s voluntary abandonment of the Training, being dismissed from the clinical site, the withholding of Training for non-payment, expulsion due to noncompliance with the Policies, or otherwise, the Student remains liable for, and is no way released from its obligations to pay the full Program Fee due under Section 3 of this Agreement.

Release of Liability: Student expressly releases and holds TNA harmless from any damages resulting from injury or exposure to blood borne pathogens while performing clinical hours in a student capacity. Student is responsible to inform TNA of any injury or exposure and to follow all facility protocols for said injury or exposure.

Miscellaneous. This Agreement constitutes the entire agreement between the parties. There are no understandings, agreements, or representations (oral or otherwise) not specified herein regarding this Agreement. No waiver, consent, modification, or change of terms of this Agreement shall be binding unless in writing and signed by both parties. Each party, by signing this agreement, acknowledges that he/she/it has read this Agreement, understands it, and agrees to be bound by its terms and conditions. This Agreement shall be governed by the laws of the State of Georgia, and each party agrees to the exclusive venue and jurisdiction of the state or federal court located in Gwinnett County, Georgia for any action arising from this Agreement. In the event that any suit or action is instituted to enforce any provision in this Agreement, the prevailing party in such dispute shall be entitled to recover from the losing party all fees, costs and expenses of enforcing any right of such prevailing party under or with respect to this Agreement, including without limitation, such reasonable fees and expenses of attorneys and accountants, which shall include, without limitation, all fees, costs and expenses of appeals.
